Terms of Service

Effective 14 October 2026

Salesling is a product of Codeks LLC, a Delaware limited liability company. These terms are a contract between Codeks LLC(“we”) and the business that creates a Salesling workspace (“Customer”, “you”). By creating a workspace or using the service you accept them on behalf of that business.

1. The service

Salesling is a software service that researches prospective customers matching your ideal-customer profile, drafts outreach (“Touches”) sent from mailboxes you connect, answers replies and inbound leads, and books meetings on calendars you connect. The AI agents act on your instructions and settings, including the autonomy level, Daily Budget and approval queue you control.

Salesling is offered to businesses only. You confirm you are acting in the course of your trade, business or profession and not as a consumer.

2. Your workspace

  • Give accurate sign-up details and keep them current. You are responsible for everything done under your workspace and for keeping access credentials secure.
  • Owners and admins you appoint can invite users, change settings, connect integrations and act on data-subject requests on your behalf.
  • Tell us promptly if you suspect unauthorized access.

3. Free trial

New workspaces get a free 14-day trial with no payment card required. Trials are capped (currently 30 qualified conversations for work-email domains, 15 for free-mail domains) and limited to one per company domain. When a cap or the trial period is reached, the agents stop generating AI replies and fall back to a plain acknowledgement plus an escalation to you.

If you do not subscribe, your workspace data is deleted 60 days after the trial ends; we email the workspace owners at least seven days before deletion.

4. Plans, fees and billing

  • Paid plans are billed in advance, monthly or annually, through our payment processor Stripe. Each plan includes a number of qualified conversations per billing period; usage above that is billed in arrears at the overage rate shown on the pricing page when you subscribe.
  • A “qualified conversation” is counted once, when the agent sends its first substantive reply in a conversation. Outbound Touches are never metered. Your usage page lists every counted conversation so you can verify each charge.
  • Usage is capped by default at twice your included volume; you can change the cap in your settings. We do not exceed your cap.
  • Fees exclude taxes. Where required we add VAT or sales tax; business customers in the EU outside our country of establishment may provide a VAT ID for reverse charge.
  • Subscriptions renew automatically for the same period until cancelled. You can cancel or change plans at any time in the billing portal; cancellation takes effect at the end of the current period, and fees already paid are not refunded except where the law requires.
  • If a payment fails we will retry and notify you. We may suspend AI features for workspaces more than 14 days overdue after notice.
  • We may change prices for future billing periods with at least 30 days’ notice. The change applies from your next renewal.

5. Your outreach is your responsibility

Touches and replies are sent from your own mailboxes, in your name, to people you choose to target. You are the sender and the controller of the contact data involved, and you are responsible for making sure your outreach is lawful in every country you contact — including GDPR, the German Act against Unfair Competition (UWG §7), the ePrivacy rules, the UK PECR and the U.S. CAN-SPAM Act. In particular you agree:

  • to target business contacts only, for offers relevant to their role, and to have a lawful basis for each contact;
  • not to remove or alter the AI disclosure and opt-out line Salesling adds to every Touch, and to honor opt-outs (Salesling suppresses opted-out people and domains automatically);
  • that Prospects in Germany, Austria and Switzerland are always Hand-send —Salesling drafts, you decide whether to send and send it yourself;
  • to comply with the terms of your mailbox provider and not use Salesling to send bulk, purchased-list or deceptive email.

6. AI output

AI-generated research, drafts and replies can be incomplete or wrong. You decide how much the agents may do without approval, and you remain responsible for messages sent from your workspace. Every AI message carries a disclosure as required by Article 50 of the EU AI Act. We do not guarantee any number of replies, meetings or sales.

7. Acceptable use

You will not, and will not let anyone else:

  • use Salesling for unlawful, harassing, fraudulent or deceptive communications, or to contact consumers for direct marketing;
  • upload contact lists you have no right to use, or special-category personal data;
  • attempt to break tenant isolation, probe or overload the service, bypass usage caps, or create multiple trials;
  • reverse engineer the service or use it to build a competing product;
  • resell the service without our written agreement.

We may suspend a workspace that breaches this section, after notice where practical, or immediately where needed to prevent harm to recipients, the service or other customers.

8. Your data

You own the data you and your leads put into Salesling (“Customer Data”). We process it only to provide the service, under the Data Processing Agreement, which forms part of these terms. You can export your workspace or delete it at any time in Settings → Privacy. We may use aggregated, de-identified usage statistics to operate and improve the service; we do not use Customer Data to train AI models.

9. Intellectual property

We own the service, its software and content. We grant you a non-exclusive, non-transferable right to use it during your subscription for your internal business. Feedback you give us may be used freely. Messages generated for you belong to you.

10. Confidentiality

Each party keeps the other’s non-public information confidential, uses it only for this contract, and protects it with at least reasonable care. This does not apply to information that is public, already known, independently developed or that must be disclosed by law (with notice where allowed).

11. Availability and changes

We aim for high availability but do not commit to a service level unless agreed in writing. We may improve and change features; we will not materially reduce the core functionality of a paid plan during a billing period.

12. Warranties

We will provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided “as is” without other warranties, express or implied.

13. Liability

  • Neither party is liable for indirect or consequential loss, lost profits or lost revenue.
  • Each party’s total liability under this contract is limited to the fees you paid in the 12 months before the event giving rise to the claim.
  • These limits do not apply to liability for intent or gross negligence, injury to life, body or health, your payment obligations, your obligations under section 5, or any liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify Salesling against third-party claims, fines and reasonable costs arising from outreach sent from your workspace in breach of section 5 or 7, or from data you uploaded without the right to do so.

15. Term and termination

The contract runs while you have a workspace. You can end it at any time by deleting your workspace. Either party may terminate for a material breach not cured within 30 days of notice. On termination your access ends, and Customer Data is deleted as described in the Data Processing Agreement — export it first if you need it. Sections that by their nature should survive (fees owed, 5, 8, 10, 13, 14, 17) survive.

16. Changes to these terms

We may update these terms. We will give at least 30 days’ notice by email or in the app for changes that adversely affect you. If you object, you may cancel before the change takes effect; continued use afterwards means you accept the new terms.

17. General

  • Governing law and venue: [Governing law and venue — pending]. The UN Convention on Contracts for the International Sale of Goods does not apply.
  • Neither party may assign this contract without consent, except to a successor of its business.
  • Neither party is liable for delays caused by events beyond its reasonable control.
  • These terms, the Data Processing Agreement and any order form are the entire agreement. Your own purchasing terms do not apply. If a provision is invalid, the rest remains in force.
  • Notices to us: [Contact email — pending]. Notices to you go to the workspace owner’s email.
